Kelly represents the interests of healthcare providers, hospitals, and healthcare-related businesses in matters ranging from business transactions and regulatory compliance to interstate litigation.  His knowledge of the healthcare industry allows him to provide counsel and representation to healthcare providers of all types, from small rural practices to nationwide hospital systems.

Born and raised on a family cattle ranch in Cheatham County, Tennessee, Kelly was the first person in his immediate family to attend college.  He graduated with honors from the University of Tennessee with a degree in writing.  He also served in the United States Army for approximately 10 years, both as an enlisted soldier and as an active-duty officer.  During this time, Kelly served as an Army scout, and later, as a military intelligence officer.  After completing his military service, Kelly graduated from the University of Tennessee College of Law and completed a two-year clerkship with Chief Judge Roderick T. Kennedy of the New Mexico Court of Appeals in Santa Fe, New Mexico.

Among his civic and bar-related activities, Kelly serves as the Co-chair of the Tennessee Bar Association Leadership Law Steering Committee and President of Knoxville’s historic Bijou Theatre.  He also devotes considerable time as a first responder for Backcountry Unit Search and Rescue (BUSAR), which provides specialized, all-hazards rescue support to the Great Smoky Mountains National Park.

Kelly has been invited to speak at numerous local and national legal events, including the National Commission on Correctional Healthcare, the Society for Post-Acute and Long-Term Care Medicine, the Hamilton Burnett Inns of Court, the University of Tennessee College of Law, the LMU College of Osteopathic Medicine, the Knoxville Bar Association, and various continuing legal education courses for the Tennessee Bar Association.  Kelly’s writing has been published in multiple periodicals and magazines, including East Tennessee Medical News, Dicta, and the Knoxville Academy of Medicine’s quarterly magazine.

Kelly is a member of the American Health Law Association, the East Tennessee Historical Society, and the Veterans of Foreign Wars of the United States.  He has been inducted into both the Honorable Order of Saint Barbara (2004) and the Military Order of the Tennessee Ranger (1998).  Kelly possesses an AV–Preeminent rating from Martindale-Hubbell and has been listed among the Best Lawyers in America for many years.  On multiple occasions, Kelly has been listed in Knoxville CityView Magazine’s Top Attorneys List.

Kelly enjoys spending time with his wife and 3 sons.  He enjoys reading, playing guitar, and lifting weights.

Will graduated from the University of Tennessee as an Accounting major and continued at the University of Tennessee to earn his J.D., with a concentration in Business Transactions. He also earned an LL.M. in Tax Law from the University of Florida.

Will has a wide range of experience in business law, tax law (including tax controversies with the IRS and Tennessee Department of Revenue), and commercial lending. Will also has experience with deferred compensation, sales and use tax issues, Tennessee franchise and excise tax issues, estate planning, and real property transactions.

Will enjoys spending time with his wonderful wife, Meg, and their four children, Laurel, Bill, Miles, and Henry.  He also loves to fish for trout in the rivers of East Tennessee and West Virginia.

Tracy has represented both large and small business clients, in private practice and most recently as General Counsel/Chief Legal Officer at a mid-market medical device manufacturer and distributor. In addition to advising on all legal matters impacting the business, Tracy also managed the Quality Assurance/Regulatory Affairs and Safety/Risk Management departments. He is a licensed Patent Attorney and routinely counsels clients on strategies in protection, transactions and potential litigation related to intellectual property assets and, guides them on how to minimize the intellectual property risks associated with such activities. He also takes a particular interest in the product realization process and his clients’ electronic presence on the web and in social media.

Tracy’s knowledge of business operations and management allows him to integrate solid legal advice into his clients’ business and financial objectives. As a legal advisor, Tracy’s primary objective is to identify a client’s primary business objectives and strategies, while utilizing his legal expertise to facilitate the implementation of those strategies in order to achieve the client’s objectives. His experience includes providing legal advice and ongoing corporate support for the establishment of holding companies and operating entities in the Netherlands, Ireland, the U.K., Hong Kong, China, Brazil, the Dominican Republic, Guatemala and Costa Rica.

Tracy has routinely worked with in-house and private practice counsel in the formation and leadership of the Knoxville Bar Association’s Corporate Counsel Section, and has been a speaker in numerous seminars relating to business law, litigation and intellectual property. He also routinely speaks at the University Of Tennessee College Of Law in the Technology Law course with regard to the legal implications of the product realization process and has taught contract drafting at U.T. as an adjunct professor. He has also voluntarily advised businesses in the incubator stage with respect to regulatory and intellectual property issues.

In addition to his legal practice, Tracy is active in the community. He has recently served on the Vestry and as Senior Warden at The Episcopal Church of the Ascension and led the parish through the retirement of its Rector and the hiring of his replacement. He also volunteers with several service ministries at Ascension and with FISH Hospitality Pantries in Knoxville.

Overview

Sam, a native of Cincinnati, Ohio, graduated from the University of Tennessee with a B.S. in Business Administration, where he majored in Logistics with a concentration in International Business. Prior to attending law school, Sam worked in operations for a local Knoxville company. Sam earned his J.D. from the University of Tennessee College of Law with a concentration in Business Transactions from UT’s Clayton Center for Entrepreneurial Law. While in law school, Sam served as a Research Editor on Transactions: The Tennessee Journal of Business Law.

Sam focuses his practice on business formations, business acquisitions and sales, and commercial real estate matters, including leasing, purchases, sales, development and real estate financing. Sam is a problem solver at heart, and loves working with clients to establish and achieve their goals.

When not in the office Sam enjoys spending time with his wife, three kids, and their goldendoodle, and cheering on the Tennessee Vols. Sam is a member of Cedar Springs Presbyterian Church.

As an attorney for the Grocery Manufacturer’s Association, Rocky was a founding member of the Coalition of Food Industry Defense Counsel (COFIC), a group that defends and promotes the food industry interests at both manufacturing and retail levels. He has worked closely with such industry leaders as Bush Brothers, Inc., Campbell Soup, Dole, Gerber, Heinz, Hormel, Kraft, Quaker Oats, and Star Kist.

Rocky became board certified in civil trial law by the National Board of Trial Advocacy, an American Bar Association accredited organization, in December 1995, and by the Tennessee Commission on Continuing Legal Education and Specialization in February 1996.

Before attending law school, he was a trainer with the University of Tennessee Athletic Department from 1977-1982, and was an authorized sports agent for the players’ associations of the NFL, NBA, and MLB for several years thereafter.

Rocky enjoys an “AV” rating, as voted by his peers, in the national Martindale-Hubbell Law Directory. He is a member of the Knoxville Bar Association, the Tennessee Bar Association, and the American Bar Association. He is also a member of the Tennessee Defense Lawyers Association, the Defense Research Institute, Trucking Industry Defense Association, Transportation Lawyers Association, and Phi Alpha Delta Law Fraternity International.
